1. Parties to the Agreement

This Advertising Contract ("Agreement") is entered into between GoToHabana ("Publisher") and the business or individual submitting an advertisement ("Advertiser"). Both parties agree to the terms outlined below.

2. Purpose of Agreement

The Advertiser is purchasing advertising placement under the Partner Section of GoToHabana. GoToHabana agrees to publish and promote the Advertiser’s business information, services, or promotional materials as selected in the advertising package.

3. Advertiser Responsibilities

The Advertiser agrees to:

•Provide accurate, lawful, and complete business information.

•Supply images, logos, and descriptions they own or have permission to use.

•Ensure all content complies with local, state, and federal laws.

•Update GoToHabana promptly if business information changes.

The Advertiser is fully responsible for the content they submit.

4. GoToHabana Responsibilities

GoToHabana agrees to:

•Publish the Advertiser’s listing in the Partner Section according to the selected plan.

•Maintain reasonable uptime and visibility of the listing.

•Notify the Advertiser of any required changes or violations.

GoToHabana does not guarantee traffic, sales, or performance results.

5. Payment Terms

Advertising fees are due monthly, based on the selected plan.

Payments must be made using one of the accepted methods (Cash, Zelle, PayPal, Money Order, or Check).

Late Payments

•Payments more than 7 days late incur a $15 late fee.

•Payments more than 15 days late may result in temporary suspension of the advertisement.

•Payments more than 30 days late may result in permanent removal of the listing and termination of the contract.

6. Contract Term & Renewal

This Agreement is billed monthly and renews automatically unless canceled by either party with 30 days’ written notice.

7. Content Approval & Removal

GoToHabana reserves the right to:

Reject any advertisement that violates guidelines.

•Request edits to misleading, inappropriate, or copyrighted content.

•Remove any advertisement that breaches this Agreement or harms the platform.

No refunds will be issued for removed ads resulting from violations.

8. Penalties for Breach of Contract

A breach occurs if the Advertiser:

•Fails to pay on time

•Submits false, illegal, or copyrighted content

•Misrepresents their business

•Violates advertising laws or GoToHabana policies

Penalties include:

•Immediate suspension of the advertisement

•Contract termination

•Forfeiture of any prepaid fees

•A $50 breach fee to cover administrative costs

Possible legal action for damages caused by unlawful content

9. Liability Limitation

GoToHabana is not liable for:

•Loss of revenue or business opportunities

•Errors in Advertiser-submitted content

•Technical issues, downtime, or third-party misuse

The Advertiser’s maximum remedy is limited to the amount paid for the current month of service.

10. Indemnification

The Advertiser agrees to indemnify and hold harmless GoToHabana from any claims, damages, or legal actions arising from their advertisement, content, or business practices.
